1. Acceptance of Terms

1.1 Agreement to Be Bound

These Terms of Use (“Terms”) form a legally binding agreement between you (“you” or “User”) and Stature Leadership Innovations Inc. (“Company,” “we,” “us,” or “our”) governing your access to and use of our web application, website, and any related services, features, or content (collectively, the “Service”).

By accessing, browsing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2 Additional Policies

These Terms incorporate by reference our Privacy Policy and any other policies, guidelines, or supplemental terms we make available through the Service from time to time (collectively, the “Policies”). The Policies form part of this agreement and govern your use of the Service.

If there is a conflict between these Terms and any incorporated Policy, these Terms will prevail unless expressly stated otherwise.

1.3 Changes to the Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our business practices. When we do, we will revise the “Last Updated” date and, where required by applicable law, provide notice through the Service or by other reasonable means.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms.

1.4 If You Do Not Agree

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and Permitted Users

2.1 Age and Legal Capacity

You may use the Service only if you:

  • Are at least 18 years old (or the age of majority in your jurisdiction, if higher); and
  • Have the legal capacity to enter into a binding agreement under applicable law.

By accessing or using the Service, you represent and warrant that you meet these requirements.

2.2 Individual Use Only

The Service is intended for use solely by individuals in their personal, noncommercial capacity.

These Terms do not permit use of the Service on behalf of an employer, organization, partnership, or other legal entity, unless expressly authorized under separate written terms entered into with the Company.

If separate terms apply to organizational or enterprise access, those terms will govern to the extent of any inconsistency with these Terms.

2.3 Authority Where Acting for Another

If, notwithstanding Section 2.2, you are permitted by the Company to access or use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” will include that organization.

2.4 Prohibited Users

You may not access or use the Service if:

  • You are prohibited from doing so under applicable law; or
  • Your access to or use of the Service has previously been suspended or terminated by us, unless we have expressly authorized you in writing to resume use.

2.5 Compliance with Laws

You agree to access and use the Service in compliance with all applicable laws, rules, and regulations, including those applicable in your jurisdiction and the jurisdiction from which you access the Service.

3. Account Registration & Security

3.1 Account Creation

To access certain features of the Service, you may be required to create a user account. When registering, you agree to provide information that is accurate, current, and complete, and to keep that information up to date.

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, misleading, or incomplete.

3.2 One Account Per Individual

Your account is intended for use by one individual only. You may not share your account credentials with others or allow any third party to access or use your account.

You are responsible for all activity that occurs under your account, whether or not you authorized that activity.

3.3 Account Credentials & Security

You are responsible for maintaining the confidentiality of your login credentials, including your password. You agree to:

  • Use a strong and unique password;
  • Keep your credentials secure; and
  • Notify us promptly if you suspect any unauthorized access to or use of your account.

3.4 Account Use

You agree to use your account only for lawful purposes and in accordance with these Terms. You may not:

  • Impersonate another person or misrepresent your identity;
  • Attempt to access another user’s account; or
  • Circumvent or interfere with security-related features of the Service.

3.5 Account Suspension or Termination

We reserve the right, in our sole discretion, to suspend or terminate your account at any time if we reasonably believe that:

  • You have violated these Terms;
  • Your account poses a security risk; or
  • Your use of the Service may expose us or others to legal or reputational harm.

4. Description of the Service

4.1 Overview of the Service

The Service is a web-based platform designed to provide tools, content, assessments, and insights intended to support personal and professional development. The Service may include questionnaires, assessments, reports, educational materials, and other features made available from time to time.

In addition to the self-guided features of the Service, you may choose to purchase optional guided features or support services provided by career development professionals or coaches made available through the service. Any such support services are offered separately, may be subject to additional terms, fees, or conditions, and are entirely optional.

4.2 No Guaranteed Outcomes

While the Service and any optional support services are designed to be helpful, we do not guarantee any specific outcomes, results, or improvements arising from your use of the Service or from participation in any coaching or support services.

4.3 Not Professional Advice

The Service, including any assessments, insights, content, or optional coaching or support services, does not provide legal, medical, psychological, financial, or other regulated professional advice.

4.4 Evolving Features and Services

We may modify, update, suspend, or discontinue any part of the Service or any optional support offerings at any time without prior notice.

4.5 User Responsibility

You are responsible for how you use the Service and any optional support services, and for how you interpret and apply any information, insights, or guidance you receive. You agree to use the Service thoughtfully, in good faith, and in a manner appropriate to your personal circumstances.

5. License to Use the Service

5.1 Grant of License

Subject to your compliance with these Terms, the Company grants you a limited, nonexclusive, nontransferable, nonsublicensable, and revocable license to access and use the Service solely for your personal, noncommercial use.

5.2 Use Restrictions

You agree not to, and not to permit others to:

  • Copy, reproduce, distribute, or publicly display the Service;
  • Modify, translate, adapt, or create derivative works;
  • Reverse engineer, decompile, or disassemble the source code or underlying models;
  • Scrape, harvest, or extract data by automated means;
  • Circumvent security-related features or usage limits; or
  • Use the Service in a manner that violates applicable law or these Terms.

5.3 Reservation of Rights

All rights not expressly granted to you under these Terms are reserved by the Company and its licensors.

5.4 Suspension or Revocation of License

We may suspend, restrict, or revoke your license to use the Service at any time, with or without notice, in accordance with these Terms.

6. Intellectual Property Rights

6.1 Ownership of the Service

The Service, including all software, code, models, algorithms, and designs (collectively, the “Company Content”), is owned by or licensed to the Company.

6.2 Trademarks

All Company names, logos, product and service names, designs, and slogans used in connection with the Service are trademarks of the Company or its licensors.

6.3 User Content and Data Rights

You retain ownership of any information or responses you submit (“User Content”). By submitting User Content, you grant the Company a worldwide, nonexclusive, royalty-free license to host, store, process, and analyze your User Content solely for providing and improving the Service.

6.3.1 Optional Participation in an Organization Program

You may voluntarily choose to link your account to a program sponsored by an organization (e.g., your employer). If you elect to participate, you acknowledge that certain assessment results or insights may be shared with that organization.

6.4 Aggregated and Anonymized Data

We may create aggregated and/or anonymized data derived from User Content and use of the Service. Such data does not identify you and is owned by the Company.

6.5 Feedback

If you provide feedback, you grant the Company a perpetual, irrevocable license to use such feedback without compensation or attribution.

7. User Conduct & Acceptable Use

You agree to use the Service in a lawful, respectful, and responsible manner. Prohibited activities include using the Service for fraud, harassing others, submitting false information, or attempting unauthorized access.

7.3 Use of Assessments, Insights, and Content

All Outputs are informational and developmental in nature only. They are inherently subjective and do not constitute professional, legal, or medical advice. You agree to use Outputs solely for personal development.

8. Fees, Subscriptions & Payments

Certain features require payment. Fees and billing terms will be disclosed at the time of purchase.

  • SubscriptionsSubscriptions auto-renew unless cancelled before the end of the current period.
  • RefundsAll fees are non-refundable except as required by law.

9. Third-Party Services & Links

The Service may integrate with third-party tools (payment processing, analytics, etc.). Your use of any third-party service is governed by their separate terms. The Company does not control or assume responsibility for third-party services.

10. Suspension & Termination

We may suspend or terminate your access at any time if we believe you have violated these Terms or if your use poses a security risk. You may also terminate your account at any time.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee that the Service will be error-free or that outputs will meet your expectations.

12. Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable for indirect or consequential damages. Our total liability is limited to the fees actually paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to defend and hold harmless the Company from any claims arising from your use of the Service or your violation of these Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Exclusive jurisdiction lies in the courts of Ontario.

15. Privacy

15.1 Privacy Policy

Your access to and use of the Service is subject to our Privacy Policy, which describes how we collect, use, store, share, and protect your personal information.

15.3 Consent to Data Practices

By using the Service, you acknowledge and consent to the collection, use, and sharing of your information as described in these Terms and the Privacy Policy.

16. General Legal Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding your use of the Service.

16.2 Severability

If any provision is held to be invalid, the remaining provisions will remain in full force and effect.
